Just to let everyone know this card will run on 32 bit windows 7 (have installed and ran this on Windows 7 Professional 32 bit for a friends system with no issues) There are no new drivers for 32 bit windows 7 though so if you deceide to use this on Windows 7 32 bit you are limited to the drivers on the disk that comes with the card with no updates. Still don't let this sway you from using this video card as it is a decent gaming card for medium settings!

Oh.
I don't think you need a new motherboard and your Graphics Card runs cool so a Cooler is probably unnecessary.
Only upgrade your mobo if you need to change your Processor..
